Association registered under the law of 1 July 1901 and the decree of 16 August 1901

 

ARTICLE 1: Constitution and name

The undersigned hereby establish an association governed by the law of 1 July 1901 and the decree of 16 August 1901, named: AHLOET (Association Havraise pour le Logement Etudiant).

 

ARTICLE 2: Aims

The aim of this association is to offer certification and online listings of accommodation in order to provide quality housing for students in the Le Havre metropolitan area.

The association may work on the development of additional initiatives to meet the housing needs of students (e.g. intergenerational flat-sharing).

 

ARTICLE 3: Registered office

The registered office is located at the following address: Institut de Formation d’Educateur de Normandie – 34 bis rue Amiral Courbet – 76600 LE HAVRE.

It may be transferred by simple decision of the Board of Directors.

 

ARTICLE 4: Duration of the association

The duration of the association is unlimited.

 

ARTICLE 5: Composition of the association

The association is composed of:

1/ Founding members

- Communauté de l’Agglomération Havraise (CODAH);

- University of Le Havre;

- École Nationale Supérieure Maritime (ENSM);

- Normandy School of Management;

- Institut d'Etudes Politiques (lEP) de Paris;

- Institut National des Sciences Appliquées (INSA) de Rouen;

- Institut de Formation d'Educateurs de Normandie (IFEN);

- Le Havre-Rouen Higher School of Art and Design (ESADHaR);

 

2/ Active members

 

3/ Honorary members

Rouen Academy Rectorate;

Student life associations.

 

ARTICLE 6: Admission and Membership

To become an honorary member of the association, you must be approved by the general assembly, which decides on admission applications at each of its meetings.

To become an active member of the association, you must be approved by the general assembly, which decides on applications for admission at each of its meetings, and pay a membership fee.

All members of the association undertake to comply with these statutes.

 

ARTICLE 7: Loss of membership

Membership shall be lost through:

1) resignation;

2) expulsion by the general meeting for non-payment of membership fees, for serious reasons. The person concerned shall be invited by registered letter with acknowledgement of receipt to appear before the general meeting.


ARTICLE 8: Resources

Founding and active members pay an annual membership fee, the amount of which is set in the provisional budget adopted each year at the general meeting.

The association's resources include:

1/ Contributions from founding members

2/ Contributions from active members

3/ Application fees from landlords

A contribution per accommodation for application fees will be requested from landlords whose accommodation is included in the student database.

4/ Any other resources authorised by law

 

ARTICLE 9: General meetings

The ordinary general meeting comprises all members of the association: founding, active and honorary members. It meets at least once a year, convened by the President. At least ten working days before the date set, the members of the association are convened and the agenda set by the Board of Directors is included in the convocations.

After deliberation, the ordinary general meeting shall decide on the annual report and the accounts for the past financial year. It shall adopt the provisional budget for the current year. It shall deliberate on future directions and the items on the agenda.

Decisions are taken by an absolute majority of the votes of the members present or represented. In the event of a tie, the President shall have the casting vote.

Each honorary member shall have an advisory vote.

Employees of the association may be admitted to attend general meetings and board meetings in an advisory capacity.

Votes shall be distributed as follows:

CODAH shall have 40% of the votes;

The other founding members hold 60% of the votes based on their annual contribution to the budget.

In the event of a new active member being admitted, the distribution of votes will be recalculated.

General meetings are only valid if the members present represent at least two-thirds of the votes.

If the quorum is not reached, a second meeting shall be convened within 10 working days, with the same agenda, which shall deliberate regardless of the number of members present.

At the request of a quarter of the members, the President may convene an extraordinary general meeting. Decisions shall then be taken by a two-thirds majority of the votes of the members present.

Proxy voting is permitted, but limited to one proxy per member.


ARTICLE 10: Board of Directors

The general meeting elects, for a term of one year, from among its founding or active members, a Board of Directors composed of:

- a chairperson, who shall represent the association in legal proceedings and in civil matters. He or she shall authorise expenditure and chair general meetings. He or she shall present the activity report for the past financial year. He or she shall have signing authority for the association's bank accounts;

- where applicable, a vice-chairperson. He or she shall assist the Chairperson and, in the event of the Chairperson's absence, shall chair the General Meetings and Board of Directors meetings;

- a secretary, who shall be responsible for the administrative functioning of the association. He or she records in the special register any amendments to the articles of association, changes in the administration or management, and changes in the registered office. He or she drafts the minutes of meetings and assemblies and, in general, all documents relating to the running of the association, with the exception of those relating to accounting;

- where applicable, an assistant secretary. He assists the secretary and, in the event of his absence, ensures the administrative functioning of the association;

- a treasurer, who prepares the association's budget, collects and accounts for membership fees, forecasts and settles expenses, prepares grant applications, seeks resources and presents the financial statement to the general meeting. He keeps regular accounts of all transactions. He has signing authority at the bank;

- where applicable, a deputy treasurer. He assists the treasurer and, in the event of his absence, is responsible for the association's accounts.

Outgoing members are eligible for re-election.

The role of the Board of Directors is to manage the association on a day-to-day basis and to implement the decisions taken at the general meeting. Its mission is also to submit questions to the general meeting.

 

ARTICLE 11 - Internal regulations

The Board of Directors may establish internal regulations to determine various points not covered by the statutes. These shall be submitted to the general meeting for approval.

 

ARTICLE 12 - Dissolution

In the event of dissolution decided unanimously by the founding members, one or more liquidators shall be appointed by the general meeting and the assets and liabilities shall be distributed in proportion to each member's contribution.
